Please read these Terms and Conditions ("Terms") carefully before using the MetaMint website, services, and platforms (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

• “Company,” “we,” “us,” or “MetaMint” refers to MetaMint Ltd., its officers, employees, and affiliates.
   
• “Client” refers to any business, entity, or representative using MetaMint’s Services.
   
• “Supplier” refers to a supplier or manufacturer providing goods or production time slots.
   
• “Time Slot” refers to a reserved period of production capacity at a supplier’s facility, booked through MetaMint.
   
• “Services” refers to MetaMint’s booking platform, consulting, OTC solutions, and related offerings.
   

MetaMint provides digital tools and consulting solutions to facilitate the booking and management of supplier time slots. Our Services may include:

• Access to supplier availability and booking functionality.
   
• Consulting on supply chain strategies and workflows.
   
• Off-platform (OTC) facilitation for high-volume or custom transactions.
   
• Integration of MetaMint’s tools into client operations.
   

MetaMint does not handle logistics, import, export, customs clearance, shipping, or physical delivery of goods. These remain the sole responsibility of the client and supplier.

Clients agree to:

• Provide accurate, complete, and updated information when using the Services.
   
• Review and comply with applicable supplier terms, including capacity, pricing, and operational conditions.
   
• Handle all logistics, import/export, customs, and associated costs directly with suppliers or third parties.
   
• Comply with all applicable laws, including trade, export control, and anti-bribery regulations.
   

Suppliers remain responsible for:

• Ensuring availability and delivery of booked time slots.
   
• Maintaining production standards, labor compliance, and operational conditions.
   
• Managing logistics or customs arrangements where agreed directly with clients.
   

MetaMint is not a guarantor of supplier performance, product quality, or compliance beyond what is represented to us by the supplier.

• Clients agree to pay MetaMint’s service fees, commissions, or consulting charges as outlined in agreements or invoices.
   
• Payments must be made in fiat currency unless otherwise agreed in writing.
   
• Late or missing payments may result in suspension of Services until resolved.
   

• All content, tools, designs, and materials provided by MetaMint remain our intellectual property.
   
• Clients and suppliers may not copy, distribute, or modify MetaMint’s platform, branding, or documentation without prior written consent.
   
• MetaMint grants clients and suppliers a limited, non-exclusive, revocable license to use the Services for their internal business purposes.
   

MetaMint may access confidential business or supplier information as part of providing Services. Both MetaMint and Clients/Suppliers agree to:

• Keep such information strictly confidential.
   
• Not disclose information to third parties without written consent, except where required by law.
   

To the maximum extent permitted by law:

• MetaMint shall not be liable for indirect, incidental, or consequential damages.
   
• MetaMint is not responsible for delays, non-performance, or disputes between clients and suppliers.
   
• Our liability in any case shall not exceed the total fees paid to MetaMint for the transaction in dispute.
   

• Any disputes arising from these Terms shall first be attempted to be resolved amicably between the parties.
   
• If unresolved, disputes shall be referred to arbitration in Malta under the rules of the Malta Arbitration Centre.
   
• The governing law of these Terms is the law of Malta.
   

MetaMint may suspend or terminate Services if:

• Clients breach these Terms or fail to make payments.
   
• MetaMint reasonably suspects fraudulent or unlawful activity.
  Clients may terminate their use of Services at any time by written notice, subject to outstanding obligations.
   

MetaMint reserves the right to amend or update these Terms at any time. Updates will be posted on our website, and continued use of Services constitutes acceptance of the updated Terms.
